ARTICLE I - NAME
The name of this organization is Martin County Quilters.
ARTICLE II - PURPOSE
The purpose of this organization is to promote knowledge of and interest in quilts and the art of quilt
making in Martin County and surrounding areas and to be of service to our community.
ARTICLE III - MEMBERSHIP & DUES
Section A: Eligibility
1. Membership shall be open to all persons interested in quilts and quilt making.
Section B: Dues
1. Dues will be paid annually and may be changed as deemed necessary by the Board of Directors
and approved by a ? vote of members present at any general meeting, provided previous notice in
writing or by email has been given.
2. January 1 through December 31 shall be the fiscal year. Members may be accepted at any time.
3. Holding office, making motions, debating, voting, and all other privileges of membership shall be
limited to those persons whose dues are paid.
ARTICLE IV - MEETINGS
1. Regular meetings will be held monthly from January through December.
2. The regular January meeting shall be known as the Annual Meeting.
3. The members present shall constitute a quorum.
4. All motions shall be decided by a simple majority.
ARTICLE V - OFFICERS AND THEIR ELECTION
Section A: Officers
1. Officers of this organization shall be President, Vice-President/President Elect, Secretary,
Treasurer, Assistant Treasurer/Treasurer Elect, and shall be known as the Executive Committee.
2. Officers shall be elected at the November meeting and assume their official duties following the
installation of officers in January.
3. The term of President shall be one year.
4. The terms of the Vice-President/President Elect and Assistant Treasurer/Treasurer Elect are
preparatory terms for the position of President and Treasurer. The persons holding these positions
will move into the President and Treasurer positions the following year.
5. The term of Secretary shall be for one year with reelection permitted for one additional term.
6. No member shall hold more than one office at a time. To be eligible to hold office, a nominee must
have been a Guild member for at least six months.
7. If the office of President becomes vacant, the Vice-President/President Elect shall automatically
become President for the remainder of that term and the following year.
8. If the office of Treasurer becomes vacant, the Assistant Treasurer/Treasurer Elect shall
automatically become Treasurer for the remainder of that term and the following year.
9. The Executive Committee shall appoint any and all vacancies.
Section B: Nominations
1. The Vice-President/President Elect shall serve as Chairperson of the Nominating Committee.
2. The Nominating Committee shall consist of at least three (3) and no more than five (5) members,
the chairperson and four (4) volunteers.
3. The Nominating Committee will be formed in September and will report their slate of officers at the
October meeting. Nominations will be taken from the floor in November.
4. All nominations will be made with prior consent of the nominee.
5. The election of officers will take place at the November meeting.
ARTICLE VI - DUTIES OF OFFICERS
Section A: President
1. The President shall preside at all meetings of the Guild, the Executive Board, and the Board of
Directors.
2. In consultation with the other officers, the president shall appoint all committee chairmen.
3. The President shall be an ex-officio member of all committees except the Nominating Committee.
Section B: Vice-President/President Elect
1. The Vice-President/President Elect shall serve in the President's absence and assist in such duties
as the President may direct.
2. The Vice-President/President Elect shall serve as Chairman of the
Nominating Committee.
Section C: Secretary
1. The Secretary shall keep minutes of all Guild meetings, Executive Committee meetings, and Board
of Directors meetings.
2. The Secretary shall be responsible for all general correspondence.
Section D: Treasurer
1. The Treasurer shall deposit all monies received by the Guild.
2. The Treasurer, upon receipt of vouchers, shall pay all bills approved in advance by the President
and one other officer.
3. The Treasurer shall keep an accurate, itemized record of all receipts and expenditures.
4. The Treasurer's books will be closed at the end of the fiscal year and audited by an audit
committee by the February general meeting.
Section E: Assistant Treasurer/Treasurer Elect
1. The Assistant Treasurer/Treasurer Elect will work with the Treasurer in preparation for taking over
the Treasurer's duties the following year.
ARTICLE VII - BOARD OF DIRECTORS
Section A: Members
1. The Board of Directors shall be composed of the Executive Committee, the Past President(s),
Committee Chairpersons and Co-Chairpersons.
Section B: Meetings
1. The Board of Directors shall meet as necessary.
2. The members present shall constitute a quorum.
Section C: Duties
1. The Board of Directors shall transact all necessary business of the organization and report to the
general membership.
ARTICLE VIII - COMMITTEES
1. The President, as needed, shall appoint committees as needed.
ARTICLE IX - AMENDMENT OF BY-LAWS
1. These By-Laws can be amended at any General Meeting of the Guild by two-thirds (?) vote of
those members present, provided previous notice in writing or by email has been given at least thirty
(30) days prior to the General Meeting. Proposals for changes must be submitted in writing two (2)
weeks prior to the General Meeting for discussion.
